|STANDARD TERMS AND CONDITIONS OF SALE
~ THE AGREEMENT ~
Please read the wording of this Agreement carefully as it contains the Terms and Conditions (‘the Conditions’) upon which Flite Electronics International Limited (“the Company”) or (‘Flite’) contracts with you for the sale of the Goods.
In this Agreement, ‘Goods’ means the Goods which Flite supply to You in accordance with the Conditions.
All Orders are accepted by the Company subject to the following Conditions
1. SERVICE CONDITIONS
1.1 We own, operate and make available the Website and “Flite” require you to register with us before ordering any “Flite” Product(s) via the Flite e-shop Website
1.2 You agree to provide us with accurate and complete personal details and other information about yourself and you agree to notify us immediately of any changes which are relevant to your registration at the following e-mail address:

1.3 We reserve the right to vary our Educational Products specifications while still maintaining the overall instructional purpose.
2.1 You shall make an Offer to purchase / order via the Website but we are entitled to refuse any Order placed by you and will not be required to provide an explanation
2.2 All Orders which are accepted by “Flite” shall be subject to these Conditions.
2.3 All Orders of “Flite” Products are subject to availability and acceptance by us. We will contact you in the event that any “Flite” Product(s) you have ordered are unavailable. For 72 hours from our communication to you you will have the option either to wait until the “Flite” Product(s) in question are available from stock or to cancel your Order.
2.4 In the event that we are unable to supply the “Flite” Products you have ordered and you have therefore decided to cancel the order we will reimburse your payment in full.
2.5 You may submit an Order by clicking on the “Flite” product you wish to purchase. This will take you to an on-line order page which will provide further information about the ordering process generally.
2.6 Once the Order has been fully processed and we have confirmed the availability of the selected “Flite” Product(s) and verified your payment details, we will send you a further e-mail as confirmation of our acceptance of your Order (the "Confirmation E-mail").
2.7 Orders cannot be accepted from customers under the age of eighteen (18) years.
3.1 The Goods may differ slightly from the images shown
3.2 We reserve the right to substitute Products of a similar description and standard if the requested Goods are not available but will use our reasonable endeavours to match your Order exactly
4.1 Payment is due at the time of submitting the Order
4.2 We accept payment by all major credit and debit cards.
4.3. Prices quoted on this website are exclusive of VAT and current at the time of publication. While every endeavour will be made to maintain them at their present low level we reserve the right to effect changes without prior notice (including, in particular, in the event of exchange rate variations).
4.4 If any sum of money is due from you, the same may be deducted from any sum then due or which at any time becomes due to you under this or any other Agreement between Us and You.
4.5 Single invoices are rendered; a nominal charge will be made for additional copies.
5. PRICES & TAXATION
5.1 All prices on this Website exclude VAT. VAT at 15% will be automatically added to the Order total during the checkout process.
5.2 Flite Electronics International VAT registration number is GB 781 2052 47
5.3 EU Member States: All prices on this Website exclude VAT. VAT at 15% will be automatically added to the order total during the checkout process. However, where a valid EU VAT registration number is provided at the time of order VAT will not be added.
5.4 Other European and worldwide countries: VAT will not be added to Orders shipped directly to non-EU countries.
5.5 We reserve the right by giving Notice to you at any time before delivery to increase the price of the Goods to reflect and increase the cost to us which is due to any factor beyond our control
6.1 “Flite” does not disclose buyers' information to third parties other than when Order details are processed as part of the Order fulfilment. In this case, the third party has been instructed not to disclose any of the details to any other third party.
6.2 Data collected by this site is used to:
6.2.1 Take and fulfil customer orders
6.2.2 Administer and enhance the site and service
6.2.3 Only disclose information to third-parties for goods delivery purposes
6.3 “Flite” strictly complies with the various and relevant provisions of the Data Protection Act (DPA) 1998 (As amended) copies of which are available from http://www.legislation.org.uk/
7.1 “Flite” aims to dispatch Orders on the day that they are received. “Flite” offers a range of UK and international delivery options including next-day (UK and certain EU countries only) and express, as well as normal post.
7.2 The cost of delivery of “Flite’s” Products is additional to the price of the product. Delivery charges for UK, Europe and The Rest of the World will be automatically calculated when you confirm your Order on the website.
7.3 If an ordered item is not in stock, we will back order, or manufacture it for you. You will always be emailed with the option to cancel your order if you would rather not wait the estimated delivery time with limitations defined in Clause 7.
7.4 Incorrect delivery details may lead to delays in the delivery of your Flite Product(s), so before placing your order, please ensure that you have included the full address details, including accurate postcode, of the intended recipient and your daytime contact telephone number in the event that any delivery problems are encountered.
7.5 You will become the owner of the Goods [when a cleared payment in full for the price of the Goods has been made] and risk passes to you when the Goods have been delivered to the address you have nominated for delivery
8. EXPORT PAYMENT TERMS (other than use of Credit card facilities)
8.1 Where it is not possible to use our on-line credit card facilities, you may use a DOCUMENTARY LETTER OF CREDIT (LOC) on orders over £20,000 GBP, a standard £500 GBP administrative handling charge will be added for use of this facility.
8.2 The LOC should be an At Sight, Confirmed, Irrevocable Documentary Letter of Credit, valid for a minimum of 120 days, payable in pounds sterling (GBP).
8.3 The LOC should have National Westminster Bank Plc, 12 High Street, Southampton, SO14 2BF, United Kingdom, or any notable UK based bank, as the Advising bank. The LOC should be for the account of Flite Electronics International Ltd.
8.4 ALL Bank Charges will be paid by yourselves, including Charges outside your country.
8.5 ALL freight, legalisation/consular/inspection charges will be paid by the Customer before delivery and to the best of our ability included in our Quotation / Proforma Invoice prior to raising an LOC ( please contact us with details of requirements, so costs may be accurately calculated.)
8.6 To avoid requests for amendments, please fax (+44 1489 897929) or email (firstname.lastname@example.org) your LOC terms for our acceptance before you raise the LOC and keep them as simple as possible. Orders will be delayed if they do not comply with the above terms and we are forced to await amendments. Receipt of an LOC (acceptable to ‘Flite’) initiates the Order.
8.7 On Orders less than £20,000 GBP, where it is not possible to use our on-line credit card facilities, you may use a BANKERS DRAFT, a Telegraphic transfer (TT) or SWIFT transfer explained in 8.8 which must be cleared before delivery takes place
8.8 Payment via the BANKERS DRAFT must be received before Goods are dispatched. The Banker’s Draft must be drawn on a UK negotiable bank, in Pounds Sterling, and should correspond exactly with the amount shown on the Pro-Forma Invoice being settled, with no Bank Charges being deducted. Send the BANKERS DRAFT by courier or registered post to Flite Electronics International Limited, Church House Farm, Clewers Hill, Waltham Chase, Hampshire, SO32 2LN, United Kingdom. Receipt of a Bankers Draft showing the correct amount, initiates the Order.
8.9 The TELEGRAPHIC OR SWIFT TRANSFER should have the following details given to your bank (receipt of funds initiates the order).

9 COPYRIGHT, PATENTS & Intellectual Property Rights (IPR)
9.1 Products offered on this Website may be the subject of Patents, Copyright, design, Trade Marks or other Intellectual Property Rights (IPR). We make no representation or Warranty as to whether your use of or dealing with the Goods (or any part or component thereof) either will or will not infringe such rights. Without limiting the generality of this statement, we do not grant nor purport to grant to you any Licence, permission or authority in respect of such rights and you acknowledge and agree to satisfy yourself in respect of such matters. We accept no liability for infringement of any such rights.
9.2 Reproduction in part or whole of Website without “Flite’s” prior Written Consent is strictly prohibited, including these Terms and Conditions.
10. RETURNS AND CANCELLATION
10.1 Orders for Flite Products (save as are referred to in 10.3) that have not been customised or damaged may be amended or cancelled by Written Notice Fax or Email received by “Flite” at any time up to 7 working days beginning on the day after you have received the relevant Flite Products (the "Cancellation Period").
10.2 You acknowledge and agree that orders for Flite Products that you have asked us to customise or are a special order cannot be amended or cancelled after the order has been placed and the Cancellation Period in Clause 9.1 shall not apply.
10.3 Any Flite Products you return to us during the Cancellation Period must be new,
received by us in an "as new" condition, complete, and in original packaging before a refund is given. This does not apply to software products such as compilers for which refunds are not possible. Please ensure that these products suit your requirements before ordering by first downloading and evaluating the free demonstration versions.
10.4 After 7 days, at our discretion, only faulty goods may be returned for replacement, repair or refund. Our products are all supplied with a Guarantee defined in Clause 11. If you suspect that a Product may be faulty please contact us for assistance by email or telephone using the contact details.
10.5 We reserve the right to have our Products manufactured or sourced in whatever country we wish. Refunds are not possible if after receipt of the Goods you do not like the country of origin, or origin of particular components, used to manufacture the products.
10.6 All “Flite” Products that you wish to return should be returned to Flite Electronics International Ltd., (Returns System) Church House Farm, Clewers Hill, Waltham Chase, Hampshire, SO32 2LN, United Kingdom, with the returns paperwork enclosed.
10.7 Any Flite non specially ordered Products cancelled by you should be returned within 7 days of the date of your Notice of cancellation.
10.8 We will credit the original purchaser's credit card excluding taxes, duties and delivery costs within 30 days from the date of Notice of cancellation.
11.1 Unless otherwise specified and subject to clauses 11.2 and 11.3, the Goods are guaranteed free from defect caused by faulty materials or workmanship for a period of twelve months from the date of despatch (the ‘Guarantee’).
11.2 The Guarantee in clause 11.1 is given provided that:
11.2.1 We are promptly notified in writing upon discovery by You that the Goods are defective due to faulty materials or workmanship;
11.2.2 The Goods in question to which the claim refers are returned to Us within 12 months from the date of despatch (the ‘Guarantee Period’) suitably packed, carriage prepaid and accompanied with proof of purchase (delivery note or invoice) and details of the nature of the defect; and
11.2.3 Examination by “Flite” of the Goods in question confirms that the alleged defect has not been caused by misuse, neglect, method of storage, faulty installation, handling, testing or repair, by alteration or accident or by any other cause listed in clause 220.127.116.11 to 18.104.22.168 below.
11.3 We are not liable under this Guarantee:
11.3.1 for any defect arising from:
22.214.171.124 fair wear and tear, wilful damage, negligence, misuse, repair of the Goods without “Flite’s” approval
126.96.36.199 any use of or dealing with the Goods in a manner which could not reasonably be expected having regard to their normal purpose
188.8.131.52 any use of or dealing with the Goods in conjunction with any other item where such item causes or gives rise to the alleged defect; or
184.108.40.206 any use of the Goods which is not in accordance with the manufacturer’s operating or user instructions or from any failure to service or maintain the Goods in accordance with the manufacturer’s instructions.
11.4 The Guarantee shall not be affected by and no Obligation or Liability shall result from providing technical advice or service in connection with your order for the Goods.
11.5 Software programs are supplied by “Flite” on the strict understanding that the licensor/supplier of the software does not guarantee the contents of the software to be free from errors, bugs or omissions.
11.6 Our Liability under the Guarantee shall be limited to replacing, repairing or issuing credits at “Flite’s” option for any Goods returned within the Guarantee Period.

12.2 If you are still not satisfied with our service, you have recourse to our trade association the British Educational Suppliers Association (BESA), with its strict terms of membership. Application should be served by post and addressed to the:

13.1 Our Local Authority’s trading conditions forbid us from accepting casual callers; as such we do not operate a retail outlet (i.e. a shop). This enterprise is strictly an e-commerce operation. Also, some of our warehousing is off site. Products you have ordered may not be immediately available. The postal address may not be staffed. It is not possible to collect goods without prior arrangement, but there would be no delivery charge Waiver for so doing as Goods would have to be delivered to our postal address for collection.
13.2 Whilst we agree to use our reasonable endeavours to ensure that the Website and/or “Flite’s” service is fully operational and error-free we cannot guarantee this and therefore accept no responsibility for any defects and/or interruption of the Website and/or the “Flite’s” service and you agree to be release “Flite” from its Obligations under these Terms and Conditions in the event of any cause beyond our reasonable control which renders the provision of the Website and/or Flite’s Service impossible or impractical.
13.3 We exclude, to the fullest extent permitted by applicable Laws, save in respect of death or personal injury arising from our negligence, all Liability of any Claims, Losses, Demands and Damages arising directly or indirectly out of or in any way connected with the “Flite’s” Products or your use or inability to access the Website and/or the Flite’s Service. This exclusion shall apply in respect of, Without Limitation, any costs, loss of profits, loss of contracts or business opportunity, loss of data and any other consequential, incidental, special or punitive damages, even if we have been advised of the possibility of such damages, whether arising in Contract, Tort, under Statute or otherwise or due to representations (other than fraudulent or negligent misrepresentations) PROVIDED THAT nothing contained in these Terms and Conditions affects or will affect the Statutory Rights of the customer or the recipient in relation to the quality, fitness or description of “Flite’s” Products supplied.
14.1 We reserve the right to supplement and amend the Terms and Conditions on which you are permitted access to the Website and/or “Flite’s” Service from time to time. Any changes will be posted on the Website and it is your responsibility as a customer to review any changes on accessing “Flite’s” Website. Changes will be effective immediately after the posting of any such change, but will not effect your Statutory Rights.
14.2 Additionally, we reserve the right to suspend, restrict or terminate access to the Website and/or “Flite’s” Services for any reason at any time.
14.3 These Terms and Conditions shall be deemed to include all other Notices, Policies, Disclaimers and other Terms contained in the Website, provided that in the event of a conflict between any other Terms, these Terms and Conditions shall prevail. If any of these Terms and Conditions is held to be invalid or enforceable, the remaining provisions shall remain in full force and effect.
14.4 No Waiver by us shall be construed as a Waiver of any preceding or succeeding Breach of any Provision.
14.5 If any part of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that Provision shall be deemed to be severable from the Terms and Conditions and shall not affect the validity and enforceability of any of the remaining provisions of the Terms and Conditions.
14.6 “Flite” shall ensure that it complies with the requirement of all current data protection Legislation including, Without Limitation, the Data Protection Act (DPA) 1998 (as amended). “Flite” shall only use personal data received from You for the purpose of fulfilling its Obligations under these Terms and Conditions.
14.7 None of these Terms and Conditions will, or can, affect your Statutory Rights under English Law.
14.8 These Terms and Conditions shall be governed by and construed in accordance with English Law and the parties agree to submit to the exclusive jurisdiction of the English Courts.
- You will be given clear instructions to follow that will navigate you through the order form and you shall be required to provide us with the complete personal details, including accurate postcode or ZIP code, of the intended recipient and all necessary payment details, as well as a daytime (UK) contact telephone number.
- Please complete all the boxes on the order form. The boxes marked with an asterisk are mandatory. This is to ensure that we have all the necessary information to make a successful delivery.
- Once you have completed the order form click on the button marked "Next" on the Order Confirmation page. The final screen confirms your Order number. As soon we receive your order we will send you an automated e-mail confirming your Order details and advising you that your Order is being processed.
